Finoverse Limited - Terms and Conditions

These terms and conditions ("Terms"), provided by (1) Finnovasia Limited, a limited liability company incorporated in Hong Kong with business registration number 66757990 which registered address is 29/F, The Chelsea, 69 Jervois St, Sheung Wan, Hong Kong; (2) Finoverse Limited a limited liability company incorporated in Hong Kong with business registration number 68054796 with its registered address at 29/F, The Chelsea, 69 Jervois St, Sheung Wan, Hong Kong; and (3) Finoverse AI Limited a limited liability company incorporated in Hong Kong with business registration number 78684753 with its registered address at 29/F, The Chelsea, 69 Jervois St, Sheung Wan, Hong Kong (collectively called "we," "us," or "our") govern your access to and use of the service described in Section 1 below (“Service”) which is designed to provide business matchmaking and personalized itinerary services for attendees of Hong Kong FinTech Week ("the Event").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

  • Description of the Service

    • The Service is an artificial intelligence-powered assistant designed to enhance your experience at the Event. Its functions are strictly limited to:

      • Analyzing your communications to understand your professional interests and objectives for the purpose of business matchmaking with other Event attendees;

      • Creating personalized itineraries and recommendations for forums, speakers, and exhibitors at the Event; and

      • Communicating with you via instant messaging applications (such as WhatsApp text and WhatsApp calls), standard mobile calls, and email.

    • The Service is not a general-purpose assistant. It cannot perform tasks outside the scope of the Event, such as booking travel, making restaurant reservations, or handling financial transactions.

  • Privacy and Data Handling

    • Personal Information Collection Statement (“PICS”): Your privacy is important to us. Our Privacy Policy, which is incorporated by reference into these Terms, provides a detailed description of how we collect, use, and protect your personal data in compliance with Hong Kong's Personal Data (Privacy) Ordinance (“PDPO”).

    • Consent to Data Collection and Processing: By using the Service, you provide your express consent to the following:

      • collection of personal data that you provide, including your name, mobile number, instant messaging application number (such as WhatsApp number), email address, company name, and job title.  

      • You explicitly agree that all communications you have with the Service—including the full content of instant messaging applications (such as WhatsApp messages), complete recordings and transcripts of all voice calls, and the content of emails - will be collected, stored, analyzed and processed by our AI system. This is necessary to personalize your Event experience and help you meet relevant attendees. For the avoidance of doubt, collection, storage and analysis of your data is not intended to be used for training AI models.

      • We will use this data to create an analytical profile of your professional interests and objectives. This profile is used solely to generate matchmaking and itinerary recommendations for the Event.  

    • Notice Regarding Voice Call Recording: By participating in any voice call as part of the Service you receive, you consent to such voice call being recorded for analysis in accordance with the Privacy Policy.

  • User Obligations and Acceptable Use

    • You agree to use the Service in compliance with all applicable laws and these Terms.

    • You agree not to use the Service to:

      • Transmit any content that is unlawful, harassing, defamatory, abusive, threatening, harmful, or otherwise objectionable.

      • Engage in any activity that is fraudulent, deceptive, or misleading.

      • Infringe upon the intellectual property rights of any third party.

      • Attempt to gain unauthorized access to, interfere with, or disrupt the Service or its related systems and networks.

      • Request the Service to perform tasks outside its stated scope, particularly those involving sensitive personal or financial information.

    • We reserve the right to monitor your use of the Service for compliance purposes and to immediately suspend or terminate your access without notice if we, in our sole discretion, believe you have violated the Terms.

  • Intellectual Property Rights

    • Your Content: You retain all ownership rights to the underlying content of the messages and information you provide to the Service ("User Input"). However, for the duration necessary for the Service operation and compliance, you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, process, adapt, and analyze your User Input for the sole purposes of operating, providing, and improving the Service.

    • Our Content: We own all rights, title, and interest in and to the Service itself, including the AI models, software, and all content generated by the Service, such as personalized itineraries and matchmaking recommendations ("Service Output"). The legal status of AI-generated content is evolving, and you agree that all ownership rights in the Service Output are hereby assigned to us. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service Output for your personal, non-commercial use during the Event.  

  • Third-Party Services and Dependencies

    • The Service relies on third-party platforms and services, including but not limited to WhatsApp and Twilio, to function ("Third-Party Services"). Your use of the Service is also subject to the terms and policies of these providers of Third-Party Services.  

    • We are not responsible for the performance, availability, or security of these Third-Party Services. We shall not be liable for any service interruptions, call failures, message delivery delays, data loss, or other issues caused by the acts or omissions of these third-party providers.

    • Your access and use of Third-Party Services remains entirely at your own risk and you agree that we shall not be responsible or liable for any loss or damage of any kind incurred as a result of the use of the services or the content of any Third-Party Services.

  • Disclaimers and Limitation of Liability

    • Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, RELIABILITY, ACCURACY, OR NON-INFRINGEMENT. YOU AGREE THAT YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK AND IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY AND COMPLETENESS OF ALL INFORMATION, STATEMENTS, OPINIONS AND OTHER MATERIAL PROVIDED THROUGH THE SERVICES.

    • AI-Specific Disclaimer: You acknowledge that the Service is an AI-powered tool and its outputs are generated algorithmically. THE RECOMMENDATIONS, ITINERARIES, AND ANY OTHER INFORMATION PROVIDED BY THE SERVICE MAY CONTAIN ERRORS, BIASES, OR INACCURACIES. The Service is not a substitute for professional advice. You are solely responsible for verifying the accuracy and appropriateness of all Service Output before relying or acting upon it. The internal testing logs for the Service have documented instances of latency, call failures, and information retrieval errors, which you acknowledge are inherent risks of using this Service.  

    • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR REPRESENTATIVES, AFFILIATES, DIRECTORS, SHAREHOLDERS, BENEFICIAL OWNERS OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR MISSED BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.   

    • Liability Cap: OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE IS LIMITED TO ONE THOUSAND HONG KONG DOLLARS (HKD 1,000).

    • The limitations in this Section 6 will not apply to the extent prohibited by Hong Kong law, such as liability for death or personal injury resulting from negligence.  

  • Termination

    • We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including for a breach of these Terms.

  • Governing Law and Dispute Resolution

    • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

    • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong.  

  • General Provisions

    • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

    • Changes to Terms: We may modify these Terms from time to time without notice. The latest Terms will be posted on http://finoverse.com/, and you should always review these Terms prior to using the Service to ensure that you have a current understanding of the Terms under which you are permitted to access the Service. If you cannot access the Terms via the internet, we can provide a copy of the most recent Terms to you by e-mail upon request. You will be legally bound by the updated or amended Terms from the first time that you use the Service once we have updated the changes online.

    • Modifications to Service: We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service or any part thereof with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service or any part thereof.

  • Personal Information Collection

    Finoverse may collect and use the following kinds of personal data:

    • Contact and Professional Information:

      • ○   information you provide for the purpose of using the Service, such as your name, phone number, email address, work address, professional background, experience, job title, your company name; and

      • ○   publicly accessible information, such as Linkedin Profile data.

    • Conversational Data: Information you provide during your use of the Service, including

      • ○   the content of your instant messenger application messages (such as WhatsApp messages);

      • ○   full audio recordings of your voice conversations with our AI agents

      • ○   complete transcripts of these conversations

      • ○   conversation summaries generated from your voice interactions

      • ○   voice characteristics and patterns

      • ○   analysis and insights derived from conversation content and patterns

      • ○   conversation metadata (date, time, duration, participants) and transcripts of your voice calls.

    • Technical Information:

      • ○   IP address, browser type, and device information

      • ○   Usage patterns and platform interactions

      • ○   Cookies and similar tracking technologies

      • ○   Log files and error reports

    • Usage Information: Information about your use of our services, including but not limited to the Service, which helps us develop a better product.

  • Using Personal Data

    Finoverse may use your personal data to:

    • Enable your access to and use of the Service.
    • Send you service-related communications.
    • Send you marketing communications, from which you can opt out at any time.
    • Help us develop a better product and Service.
    • Quality assurance to internally review conversations for service quality.
    • Respond to inquiries and resolve issues for customer support.

    We will not use your personal data for a new purpose without your express consent. You may opt out of having your personal data used for general service improvement by contacting us at the details given in Section 10 of this Privacy Policy.

  • Securing Your Data

    Finoverse will take reasonable technical and organizational precautions to prevent the loss, misuse, or alteration of your personal data.

    • Data Retention

      We will store the personal data you provide only for as long as is necessary to provide the Service and for a reasonable period thereafter, after which it will be securely deleted.

    • Sharing Your Information

      • For Introductions: We will only share your contact information with another user for the purpose of business networking after both you and the other user have explicitly consented to the introduction (a "double opt-in").
      • Service Providers: Where Finoverse discloses your personal data to its agents or sub-contractors (such as our communication platform or cloud hosting providers), the agent or sub-contractor will be obligated to use that personal data in accordance with the terms of this Privacy Policy.
      • Legal Requirements: We may disclose your personal data to the extent that it is required to do so by law.
